1. Agreement and license
This agreement is between you and Zeem Development LLC, California, United States, for authorized use of the software and hosted services available at hub.zeemdev.com, including reporting, client management, and connected-service features. If you accept on behalf of a business, you must have authority to do so. Subject to this agreement and your applicable service agreement, Zeem grants you a limited, nonexclusive, nontransferable license to access and use the platform for your authorized business purposes during your access term.
This agreement supplements our Terms of Service. A signed service agreement controls a conflicting commercial term. Mandatory legal rights remain unaffected.
2. Authorized use and restrictions
Use only accounts, clients, and information you are authorized to access. Protect your login and review sharing permissions. You may not resell access without authorization, circumvent security controls, misuse third-party credentials, introduce malicious software, or copy or reverse engineer the platform except where applicable law permits it. Zeem retains ownership of its software and branding; you retain your rights in your content.
3. QuickBooks and other integrations
You must have permission to connect the relevant QuickBooks company or other provider account and authorize the requested access. Zeem uses authorized QuickBooks customer, invoice, payment, and company information to provide the client-management and financial reporting features you enable. QuickBooks remains the accounting source of truth. Review imported results before relying on them for business decisions.
QuickBooks and Intuit are third-party services with their own agreements. This license grants no license to Intuit software and does not replace Intuit's terms. Provider availability, permissions, quotas, and changes can affect integrations. You may disconnect an integration through the platform or revoke access through the provider. Disconnection stops authorized syncing; it does not by itself delete previously imported records.
4. Data, privacy, and retention
Our Privacy Policy describes data processing and safeguards. Active-client reporting retention defaults to five years and may be changed by an authorized super admin. Disconnecting an integration clears its stored credentials and stops syncing while retaining reporting history under the client's retention policy. Removing a client archives the client for the configured archive period (twelve months by default) before permanent deletion from the active platform database. Authorized administrators may restore the client during that period; reconnection is required to resume provider access.
Verified deletion requests are handled separately and are not required to wait for the ordinary archive period. See Data Deletion. Delivered emails, downloaded exports, audit records, and backups require separate handling as described in the Privacy Policy.
5. Fees, support, and availability
Fees and support commitments are determined by your applicable service agreement. This license does not create additional fees or a service-level guarantee. Zeem may maintain or update the platform. Provider changes and interruptions may affect reporting; historical data that a provider no longer supplies cannot always be recovered.
6. Ending access
Your license ends when your authorized service term ends or your access is terminated under the Terms of Service. You must then stop accessing the platform. Contact support for available exports, disconnection, or deletion requests. Terminating access does not automatically cancel a separate service agreement.
7. Warranties, liability, and governing law
The warranty, liability, and dispute provisions in our Terms of Service apply to this license. The platform is provided as available except for express commitments in a signed agreement. Nothing excludes liability or rights that cannot lawfully be excluded. California law applies subject to mandatory protections and any applicable signed agreement. This agreement introduces no mandatory arbitration or class-action waiver.
8. Changes and contact
We will post revisions and update the date above, provide notice of material changes when required, and obtain additional agreement where required by law. Changes do not retroactively alter accrued rights. Questions: support@zeemdev.com.
